Important: These Creator Monetization and Payout Terms (the “Creator Terms”) form a binding agreement between you and CipherBit Corp., the operator of Verbal (“Verbal,” “we,” “us,” or “our”). They supplement Verbal’s general Terms of Service, Privacy Policy, Community Guidelines, Copyright Policy, and any payout-provider terms (collectively, the “Related Terms”). If these Creator Terms conflict with the general Terms of Service solely regarding creator monetization or payouts, these Creator Terms control.
By selecting “I agree,” enrolling as a creator, receiving Hertz from users, requesting a payout, or otherwise using the Creator Program, you confirm that you have read, understood, and agreed to these Creator Terms. If you do not agree, do not enroll in or use the Creator Program.
1. Eligibility and account requirements
To participate, you must:
be at least 18 years old and have the legal capacity to enter a binding agreement;
reside in a country or region where the Creator Program and payouts are available and lawful;
maintain a Verbal account in good standing and provide complete, current, and accurate information;
use the Creator Program only for yourself or a business you are authorized to represent;
complete all identity, age, tax, banking, sanctions, fraud-prevention, and payout-provider checks we require; and
comply with the Related Terms, applicable laws, payment-network rules, and app-store rules.
You may not sell, transfer, rent, or share access to your creator account or payout credentials. You are responsible for account security and for activity conducted through your account, except to the extent caused by Verbal’s failure to use reasonable safeguards. Notify us promptly of suspected unauthorized access.
2. How the Creator Program works
The Creator Program may allow eligible users to support creators by sending Hertz through Verbal. A user’s support is voluntary and does not purchase ownership, equity, a security, a loan, a charitable receipt, or any guaranteed product, service, access, response, or other benefit unless Verbal expressly identifies a separate eligible transaction.
We may set or change eligibility criteria, earning calculations, creator shares, payout thresholds, processing times, supported countries, limits, fees, reserves, and other program rules. The amounts and terms shown to you in the app or creator dashboard at the time of the relevant activity form part of these Creator Terms. Participation does not guarantee discovery, engagement, Hertz, earnings, or payout availability.
3. Hertz, creator earnings, and no stored-value promise
Hertz are limited-purpose digital units for use within Verbal. They are not legal tender, cryptocurrency, a bank deposit, an investment, a security, or property carrying an ownership interest in Verbal. Users who purchase or hold Hertz have no general right to redeem, transfer, sell, or exchange them for cash, except where required by law.
Hertz received by a creator may be used to calculate provisional creator earnings under the then-current Creator Program rules. A displayed Hertz balance or estimated cash value is not a debt payable by Verbal and does not become final or payable until Verbal validates the underlying activity, applies all adjustments, and approves and completes a payout.
Hertz and provisional earnings:
may not be transferred outside approved Verbal features or between accounts to obtain cash indirectly;
have no guaranteed exchange rate, cash value, or future availability;
may be subject to expiration only if clearly disclosed in advance and permitted by law; and
may be corrected, withheld, cancelled, or reversed where associated with refunds, chargebacks, app-store reversals, fraud, error, prohibited conduct, legal requirements, or breach of these Creator Terms.
4. Payouts, fees, reserves, holds, and reversals
Payouts may be administered by an independent payment provider, currently expected to include Stripe or its affiliates. You must accept that provider’s connected-account or recipient terms and privacy notice. The provider may collect and verify your identity, beneficial ownership, bank, tax, and other information. Verbal does not control the provider’s approval decisions, processing times, bank charges, currency conversion, or service availability.
Before paying you, Verbal or its provider may deduct or account for:
the creator share or conversion rate disclosed in the app;
reserves or holds reasonably needed to address fraud, disputes, legal obligations, or financial risk; and
amounts we are legally required to withhold, remit, seize, freeze, or pay to a government authority.
We may delay or withhold a payout while investigating suspicious activity, verifying information, resolving disputes, addressing negative balances, complying with law or legal process, or assessing a breach. Where legally permitted, we may offset amounts you owe against current or future earnings. If reversals exceed your balance, you authorize us to carry forward a negative balance and recover the lawful amount from future payouts or by another payment method you authorize.
You must review transaction records and notify us of an alleged error within 60 days after it appears, unless applicable law requires a longer period. Records maintained by Verbal and its payment providers will be evidence of activity but may be challenged with reliable contrary evidence.
If an account is closed, we will handle any remaining eligible earnings in accordance with these Creator Terms and applicable law. No payout will be made if prohibited by law, connected to unlawful or fraudulent activity, or below a disclosed threshold where the law permits the balance to remain pending.
5. Taxes and financial responsibility
Creator earnings may be taxable even when users describe payments as “tips.” You are solely responsible for determining, reporting, and paying all income taxes, sales taxes, value-added taxes, goods and services taxes, harmonized sales taxes, social contributions, duties, and other governmental charges arising from your participation, except taxes imposed on Verbal’s own net income or amounts Verbal is legally required to collect or withhold.
You must maintain appropriate records and obtain independent tax advice. You will provide accurate tax forms, tax identification numbers, residency information, invoices, registration details, and other documentation reasonably requested by Verbal or a payment provider. We may report payments or account information to tax or other authorities and may issue tax slips or forms where required. We do not provide tax, accounting, investment, or legal advice.
6. Creator content, ownership, copyright, and other rights
You retain the ownership rights you have in content you create and upload. The licences granted in Verbal’s general Terms of Service continue to apply and must be broad enough for Verbal to host, reproduce, process, transcode, translate, transcribe, distribute, promote, and make your content available in connection with operating and marketing the service.
For every audio recording, performance, composition, sound effect, sample, music track, spoken work, podcast, image, name, logo, likeness, voice, transcript, link, and other material you upload, import, monetize, or use, you represent and warrant that:
you created and own it, or have all licences, permissions, releases, and other rights necessary for Verbal’s use and for your monetization of it;
you have cleared all relevant rights, including rights in sound recordings, musical compositions, performances, publicity, privacy, trademarks, and moral rights;
you will pay all royalties, residuals, guild fees, licence fees, and other amounts owed to rights holders;
it does not infringe, misappropriate, or violate any person’s intellectual-property, privacy, publicity, contractual, or other rights; and
it complies with law and the Related Terms.
Uploading content found online, purchasing a copy, giving credit, using only part of a work, or calling a use “fair” does not necessarily give you the right to upload or monetize it. You are responsible for obtaining advice where ownership or permitted use is uncertain.
Verbal may remove or disable content, suspend monetization, withhold associated earnings, preserve evidence, or terminate repeat or serious infringers. Where legally permitted and proportionate to the circumstances, serious or deliberate infringement may result in immediate termination without prior notice. Nothing in these Creator Terms requires Verbal to reveal confidential investigations, security methods, complainant information, or information that cannot lawfully be disclosed. Verbal will nevertheless provide any notice, process, or disclosure required by applicable law.
You must promptly cooperate with copyright complaints and must not submit a false notice or counter-notice. A rights holder may contact us at [COPYRIGHT EMAIL]. Verbal may share relevant notices and account information when authorized or required by law.
7. Prohibited financial and platform conduct
You must not use Verbal, Hertz, creator earnings, or payouts—directly or indirectly—to:
launder money, finance terrorism, evade sanctions, conceal proceeds of crime, evade taxes, or commit or facilitate any illegal act;
buy Hertz with stolen, unauthorized, compromised, or fraudulently obtained payment methods;
send Hertz to yourself or coordinated accounts, cycle funds, structure transactions, create artificial activity, or manipulate balances to convert funds into payouts;
use bots, scripts, account farms, deceptive engagement, impersonation, collusion, or misleading claims to generate Hertz or earnings;
provide regulated financial services, gambling, lotteries, contests, investment schemes, crowdfunding, charitable fundraising, escrow, or money transmission unless expressly approved in writing by Verbal and lawful;
pay for or promote illegal goods or services, sexual exploitation, trafficking, controlled substances, weapons transactions prohibited by law, fraud, extortion, or other harmful activity;
circumvent limits, verification, app-store billing, payment-provider controls, geographic restrictions, or enforcement measures; or
misrepresent the source, purpose, recipient, ownership, or nature of any funds, Hertz, content, or transaction.
You may not encourage users to send Hertz through deception, coercion, threats, false emergencies, misleading promises, or exploitation of a vulnerable person. You must not represent that Hertz are refundable, guaranteed, tax-deductible, an investment, or redeemable by a supporter.
8. Verification, monitoring, sanctions, and legal compliance
You authorize Verbal and its service providers to conduct identity, age, business, beneficial-owner, bank-account, fraud, sanctions, and compliance checks; monitor activity; request documents or explanations; and use or disclose information as described in the Privacy Policy and as permitted or required by law.
You must not participate if you are located in, ordinarily resident in, organized under the laws of, or acting for a person or region subject to applicable trade or economic sanctions, or if you are otherwise prohibited from receiving the service. You represent that neither you nor any beneficial owner is a prohibited or sanctioned person.
We may reject, block, freeze, report, or retain records of transactions; restrict accounts; and cooperate with payment providers, app stores, financial institutions, regulators, law enforcement, courts, and rights holders where we reasonably believe it is necessary to comply with law, protect users, enforce these Creator Terms, or prevent fraud or harm. We may be legally prohibited from telling you about a report, request, investigation, or reason for action.
9. Independent relationship; no employment or agency
You participate independently. These Creator Terms do not create employment, partnership, joint venture, fiduciary, franchise, agency, or exclusive representation between you and Verbal. You control whether and what to create, subject to the Related Terms. You have no authority to bind Verbal or make promises on its behalf, and you are not entitled to wages, benefits, vacation pay, pension contributions, insurance, or expense reimbursement from Verbal.
10. Suspension, demonetization, and termination
You may stop participating at any time, subject to pending investigations, reversals, negative balances, and legal obligations. Verbal may limit, suspend, demonetize, or terminate your participation or account if:
you breach these Creator Terms or the Related Terms;
we reasonably suspect infringement, fraud, abuse, unsafe conduct, sanctions exposure, money laundering, illegal activity, or material financial risk;
required by an app store, payment provider, financial institution, regulator, court, or law;
your information cannot be verified or you fail to respond to a reasonable request; or
the Creator Program, a feature, or service is discontinued.
Where appropriate and legally permitted, action may be immediate and without advance notice. Termination does not eliminate rights, obligations, liabilities, holds, reversals, indemnities, or payment duties that arose before termination. Sections that by their nature should survive will survive.
11. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Verbal, its affiliates, and their respective directors, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising out of or relating to: (a) your content or conduct; (b) your actual or alleged infringement or violation of another person’s rights; (c) your taxes, royalties, or payment obligations; (d) your misuse of Hertz, payouts, or the Creator Program; or (e) your breach of these Creator Terms or law. Verbal may control the defence of a claim, and you will reasonably cooperate. You may not settle a claim that imposes liability or obligations on Verbal without our written consent.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CREATOR PROGRAM, HERTZ, DASHBOARDS, ESTIMATES, AND PAYOUT FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VERBAL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT. WE DO NOT GUARANTEE UNINTERRUPTED OPERATION, ANY LEVEL OF EARNINGS, THE VALUE OR CONTINUED AVAILABILITY OF HERTZ, OR THAT A PAYMENT PROVIDER OR APP STORE WILL PROCESS A TRANSACTION.
Nothing in these Creator Terms excludes warranties, remedies, or rights that cannot lawfully be excluded.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERBAL AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE CREATOR PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERBAL’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE CREATOR PROGRAM WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT VERBAL PAID OR WAS REQUIRED TO PAY YOU UNDER THE CREATOR PROGRAM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) CAD $100.
These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited, and they apply only to the extent permitted in your jurisdiction.
14. Changes to these terms or the Creator Program
We may modify these Creator Terms or the Creator Program for legal, security, operational, economic, or product reasons. We will provide notice as required by law and will identify the effective date. Material changes will apply prospectively after the stated notice period, except changes needed immediately for security, fraud prevention, legal compliance, or to prevent harm. If you do not agree, you must stop participating before the changes take effect. Continuing to participate after that date constitutes acceptance where permitted by law.
15. Governing law and disputes
These Creator Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to any mandatory rights you have under applicable law, the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising out of or relating to these Creator Terms or the Creator Program, and you and Verbal consent to that jurisdiction and venue.
Before filing a claim, you and Verbal agree to make a good-faith attempt to resolve it by sending a written notice describing the dispute and requested resolution. Either party may seek urgent injunctive or equitable relief where necessary. Nothing here prevents a person from making a report to a regulator or law-enforcement authority.
16. General terms
If any provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Creator Terms without Verbal’s prior written consent; Verbal may assign them as part of a merger, financing, reorganization, sale of assets, or by operation of law. Headings are for convenience only. “Including” means “including without limitation.” Electronic notices and acceptance have the same effect as paper records and signatures where permitted by law.
These Creator Terms and the Related Terms are the entire agreement about the Creator Program and supersede prior statements on that subject. If translated, the English version controls to the extent permitted by law unless a localized version expressly states otherwise.
